The company is governed by the Elexon Board, who oversee the strategic and operational delivery to ensure an outstanding service for our customers. They also review overall management of the organisation. The Executive team are responsible for day-to-day management and ensure that Elexon delivers to the highest quality.
Elexon ownership
As of 1 October 2024, Elexon’s ownership is held by 13 licensed BSC Parties, each being part of a group with a funding share of greater than two percent as of 1 January 2023.
Role and responsibilities of shareholder
The BSC sets the basis on which Elexon shareholders are expected to be involved in the governance of Elexon. There are two main principles, which are set out in Annex C-3 of the BSC, as follows:
The rights of Elexon’s shareholders are completely constrained, other than as set out below;
- Elexon shareholders may only exercise their rights so as to give effect to the BSC
- This means there is very little need for Elexon’s shareholders to be actively involved

Relationship to BSC voting shares
The BSC has a voting mechanism that is not related to Elexon’s ownership structure. Under the voting share mechanism, all BSC Parties are entitled to a vote on various matters.
Licence Conditions
Electricity Supply Standard Licence Condition 60 and Generation Standard Licence Condition 21 provide for the Secretary of State or the Gas and Electricity Markets Authority to issue a direction to the licensee to hold a share in Elexon and for the licensee to provide information to the Secretary of State and the Authority that is relevant to the issuance of such a direction.

Governance documents
Elexon’s governance is overseen by the Elexon Board and we are managed on a day-to-day basis by our Executive Team. Elexon’s core governance documents are our Articles of Association and Section C of the BSC.
